Legal & Compliance

Our commitments to you — covering how we operate, how we protect your data, and how we handle your subscription.

Section 1

Introduction

These Terms of Service ("Terms") govern your access to and use of the products and services provided by SEORCE, Inc. ("SEORCE", "we", "us", or "our"), a company incorporated under the laws of the State of Delaware, with its principal place of business at 131 Continental Dr Suite 305, Newark, DE 19713, United States.

By creating an account, accessing, or using the SEORCE platform, you agree to be bound by these Terms. If you are using SEORCE on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

ℹ️

These Terms constitute a legally binding agreement. Please read them carefully before using our services. For questions, contact legal@seorce.com.

Section 2

Acceptance & Modifications

By accessing SEORCE you accept these Terms in their entirety. We may update these Terms from time to time. We will notify you of material changes by email or by displaying a prominent notice in the platform at least 14 days before the change takes effect. Your continued use of SEORCE after that date constitutes acceptance of the updated Terms.

If you do not agree with any modification, your sole remedy is to discontinue use of the service and cancel your subscription before the effective date of the change.

Section 3

Eligibility & Account Registration

To use SEORCE you must be at least 13 years of age (or 16 in the European Economic Area). If you are under 18, you must have verifiable parental or guardian consent. By registering, you confirm that all information you provide is accurate and that you will keep it current.

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@seorce.com if you become aware of any unauthorised access to your account. You are liable for all activity that occurs under your account.

SEORCE may suspend or terminate accounts where registration information is found to be inaccurate, incomplete, or fraudulent.

Section 4

Use of the Service

SEORCE grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform for your internal business purposes, subject to these Terms and the plan limits applicable to your subscription.

You may not: sub-licence, sell, resell, or commercially exploit the service beyond what your plan explicitly permits; reverse engineer, decompile, or disassemble any part of SEORCE; use automated means to scrape or extract data in a manner that circumvents our API rate limits; or use the service to compete with SEORCE by building substantially similar products.

Section 5

Fair Use & System Integrity

All plans are subject to fair use limits designed to ensure platform performance and equitable access across all users. We reserve the right to throttle, suspend, or terminate access if usage materially exceeds plan limits or negatively impacts the experience of other users. We will make reasonable efforts to notify you before taking such action.

Section 6

AI-Generated Outputs

SEORCE uses artificial intelligence and large language models to produce outputs including keyword suggestions, content drafts, diagnostic analyses, and recommendations. These outputs are generated automatically and may contain inaccuracies, omissions, or content that requires human review before use.

You are solely responsible for evaluating, editing, and approving any AI-generated output before publishing or relying on it. SEORCE makes no warranty that AI outputs are accurate, complete, or fit for any particular purpose. Copyright in AI-generated content may be limited or unavailable in some jurisdictions; we recommend legal review before asserting copyright over such content.

Section 7

Features & Product Evolution

SEORCE is a continuously developed platform. We may add, modify, or remove features at any time. We will endeavour to provide reasonable notice of changes that materially affect workflows you depend on. Features labelled "Beta" or "Preview" are provided as-is without warranty and may be discontinued without notice.

Section 8

Service Levels & Access Priority

We target 99.5% monthly uptime excluding scheduled maintenance. In the event of extended downtime attributable to SEORCE, we may at our discretion issue service credits. These credits are your sole remedy for service interruptions and do not constitute a warranty of any specific uptime level.

Enterprise customers are subject to a separate Service Level Agreement which, where it conflicts with these Terms, takes precedence.

Section 9

Acceptable Use

You must not use SEORCE to: violate any applicable law or regulation; transmit or store malicious code; harass, abuse, or harm any person; impersonate any individual or entity; infringe the intellectual property rights of any third party; generate, store, or transmit content that is defamatory, obscene, or otherwise unlawful; or attempt to probe, scan, or test the vulnerability of the SEORCE platform without prior written authorisation.

Violation of this section may result in immediate suspension or termination of your account without refund.

Section 10

Subscriptions & Billing

SEORCE is offered on a recurring subscription basis. By subscribing, you authorise SEORCE to charge your chosen payment method on a recurring monthly or annual basis until you cancel. All fees are stated in US dollars and are exclusive of applicable taxes unless stated otherwise.

Payment processing is handled by Stripe, Inc. ("Stripe"), a PCI DSS Level 1 certified payment processor. By providing your payment details you agree to Stripe's Terms of Service and authorise Stripe to store and process your payment information on our behalf. SEORCE does not store full card numbers on its own servers.

Subscription fees are charged at the beginning of each billing cycle. If a payment fails, we will attempt to re-process it up to three times before suspending access to your account.

Section 11

Cancellation & Refund Policy

You may cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period; you retain full access until then. We do not issue refunds for partial billing periods except where required by applicable law or at our sole discretion in exceptional circumstances.

Annual subscriptions are non-refundable after 14 days of the initial purchase or renewal date. Monthly subscriptions cancelled within 48 hours of charge may be eligible for a refund on a case-by-case basis. Contact billing@seorce.com to request a refund.

Section 12

Usage-Based Access

Certain features are metered based on usage (prompts run, keywords tracked, pages crawled, content pieces generated). Usage limits are defined per plan and displayed in your account dashboard. Exceeding limits may result in feature throttling or prompts to upgrade. We will not charge overage fees without your explicit consent.

Section 13

Intellectual Property

SEORCE and all associated software, algorithms, designs, trade marks, and documentation are owned by SEORCE, Inc. or its licensors and are protected by intellectual property laws. These Terms do not grant you any ownership rights in the platform.

You retain ownership of all data you input into SEORCE ("Customer Data"). By using SEORCE, you grant us a limited licence to process your Customer Data solely to provide and improve the service. We do not sell your Customer Data to third parties.

Section 14

User Content

Any content you submit to SEORCE — including brand assets, training data, feedback, or feature suggestions — you grant SEORCE a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable licence to use, reproduce, and incorporate into the service. This licence does not affect your ownership of that content.

You represent and warrant that you have all rights necessary to grant this licence and that your content does not infringe the rights of any third party.

Section 15

Third-Party Services & Links

SEORCE integrates with third-party services including Google Search Console, Stripe, and others. Your use of these integrations is subject to the respective terms and privacy policies of those providers. SEORCE is not responsible for the practices or content of any third-party service.

The platform may contain links to external websites. These links are provided for convenience only; their presence does not constitute endorsement by SEORCE of the linked site or its content.

Section 16

Privacy & Data

Your use of SEORCE is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using SEORCE, you consent to the collection and processing of information as described in that policy.

SEORCE complies with applicable data protection laws including the GDPR and the CCPA. You may exercise your data rights as described in the Privacy Policy or by contacting privacy@seorce.com.

Section 17

Disclaimers & Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEORCE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the service will be uninterrupted, error-free, or that AI-generated outputs will be accurate or complete. SEO and AI visibility outcomes depend on many factors outside our control and cannot be guaranteed.

Section 18

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEORCE, INC. AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

SEORCE's total cumulative liability to you for any claims arising from these Terms or your use of the service shall not exceed the greater of: (a) the total fees you paid to SEORCE in the 12 months preceding the event giving rise to the claim, or (b) USD $100.

Section 19

Indemnification

You agree to indemnify, defend, and hold harmless SEORCE, Inc. and its officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: your breach of these Terms; your use of the service in violation of applicable law; your content; or your infringement of any third-party rights.

Section 20

Term & Termination

These Terms remain in effect for as long as you maintain an account with SEORCE. Either party may terminate the relationship at any time. Upon termination, your right to access the service ceases immediately. We will retain your data for 90 days following termination to allow export, after which it will be deleted in accordance with our Privacy Policy.

We may suspend or terminate your account immediately without notice if we determine you have violated these Terms, are engaged in fraudulent activity, or pose a risk to the security of the platform or other users.

Provisions that by their nature should survive termination — including sections on intellectual property, disclaimers, limitation of liability, indemnification, and governing law — shall survive.

Section 21

Promotional & One-Time Access Plans

SEORCE may offer promotional plans, lifetime deals, or limited-access products through third-party platforms (e.g. AppSumo). These plans are subject to their own terms in addition to these Terms. Promotional plan terms are non-transferable and may include feature caps, usage limits, or validity windows that differ from standard subscriptions.

SEORCE reserves the right to modify or discontinue promotional plans with 60 days' notice. Lifetime and one-time deals are honoured for the life of the product as commercially defined — not in perpetuity if the product is sunset.

Section 22

General Provisions

Entire agreement. These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and SEORCE and supersede all prior agreements.

Severability. If any provision is found unenforceable, the remainder continues in full force.

Waiver. Failure by SEORCE to enforce any right does not constitute a waiver of that right.

Assignment. You may not assign your rights under these Terms without our prior written consent. SEORCE may assign its rights in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party is liable for delays or failures caused by events beyond their reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.

No third-party beneficiaries. These Terms do not confer any rights on any third party.

Section 23

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Binding arbitration. Any dispute arising out of or relating to these Terms or the service shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Delaware or remotely, and the arbitrator's award shall be final and enforceable in any court of competent jurisdiction.

You agree to resolve any disputes with SEORCE on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration. This waiver is a material inducement for SEORCE to provide you with access to the service.

Nothing in this section prevents either party from seeking emergency injunctive relief from a court to prevent irreparable harm pending arbitration.

Section 24

Contact & Acknowledgment

By using SEORCE, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

Section 3

Tracking Technologies & Cookies

We use cookies and similar tracking technologies on our marketing website and within the SEORCE platform. For full details of every cookie and third-party service we use — including Google, Meta, LinkedIn, Stripe, Zoho, and our own cookieless analytics — see the Cookies & Third Parties tab.

You can manage cookie preferences through your browser settings or our cookie consent banner. Note that disabling certain cookies may affect the functionality of the platform.

Section 4

  • To comply with legal obligations

We do not sell your personal data to any third party for advertising or commercial purposes.

Section 5

Legal Basis for Processing (GDPR)

For users in the European Economic Area and United Kingdom, we rely on the following legal bases:

  • Contract performance — processing your account data and Customer Data to deliver the service you have subscribed to
  • Legitimate interests — platform security, fraud prevention, service improvement, and direct marketing to existing customers
  • Legal obligation — retaining transaction records for tax and regulatory compliance
  • Consent — placing non-essential cookies and sending marketing emails to prospects

Section 6

Data Sharing

We share your data only with:

  • Stripe, Inc. — payment processing
  • Google LLC — authentication and Google Search Console integration

We require all processors to handle your data under appropriate contractual safeguards (Data Processing Agreements). We do not share your Customer Data with any third party for their own commercial purposes.

We may disclose your data if required to do so by law, court order, or governmental authority, or where we believe disclosure is necessary to protect the rights, property, or safety of SEORCE, our users, or the public.

Section 7

Data Retention & Deletion

We retain your account data for as long as your account is active. Following account deletion or termination, we retain data for up to 90 days to allow for reinstatement or export, after which it is permanently deleted from our systems. Billing records are retained for 7 years as required by US tax law.

You may request deletion of your personal data at any time by contacting privacy@seorce.com. We will action deletion requests within 30 days, subject to legal retention requirements.

Section 8

We rely on the EU–US Data Privacy Framework, Standard Contractual Clauses, or other lawful transfer mechanisms where required. For more information, contact privacy@seorce.com.

Section 8A

India — Digital Personal Data Protection Act 2023

India's Digital Personal Data Protection Act 2023 ("DPDPA") received Presidential assent on 11 August 2023. The DPDPA and its implementing rules have not yet been brought fully into force as of the date of this policy; the Government of India has published draft rules for consultation and a commencement date is expected to be announced.

The DPDPA applies to the processing of personal data of individuals located in India ("Data Principals"), regardless of where the data processor is incorporated. SEORCE processes personal data of Indian residents through the use of our platform and website, and we are monitoring developments closely to ensure full compliance when the Act and its rules come into force.

Your rights as an Indian Data Principal (upon commencement). Once the DPDPA is operative, Indian residents will have the right to: access information about their personal data being processed; correct inaccurate or incomplete personal data; erasure of personal data that is no longer necessary; and to nominate another individual to exercise these rights on their behalf in the event of death or incapacity.

Data Fiduciary obligations. SEORCE, in its role as a Data Fiduciary under the DPDPA, commits to: processing personal data of Indian residents only for lawful purposes with valid consent where required; implementing appropriate technical and organisational security measures; and not retaining personal data beyond the period necessary for the stated purpose.

Indian Data Principals may contact us to exercise data rights at any time — we will action requests in accordance with applicable law: privacy@seorce.com.

ℹ️

This section will be updated once the DPDPA Rules are notified and the Act comes into force. We will notify affected users of any material changes to how we handle Indian personal data at that time.

Section 9

Security

We implement appropriate technical and organisational measures to protect your personal data including: encryption in transit (TLS) and at rest; access controls limiting data access to authorised personnel; regular security assessments; and incident response procedures.

No method of transmission over the internet or electronic storage is 100% secure. In the event of a data breach affecting your rights and freedoms, we will notify affected users and relevant authorities as required by applicable law.

Section 10

Your Rights

Depending on your jurisdiction, you may have the following rights regarding your personal data:

  • Access — request a copy of the personal data we hold about you
  • Correction — request correction of inaccurate data
  • Deletion — request erasure of your data ("right to be forgotten")
  • Portability — receive your data in a structured, machine-readable format
  • Objection — object to processing based on legitimate interests
  • Restriction — request that we limit processing of your data
  • Withdrawal of consent — where processing is based on consent, withdraw it at any time
  • CCPA rights (California) — right to know, delete, opt out of sale, and non-discrimination

To exercise any of these rights, contact privacy@seorce.com. We will respond within 30 days. You also have the right to lodge a complaint with your local data protection authority.

Section 11

Children's Privacy

SEORCE is not directed at children under 13 years of age (or under 16 in the EEA). We do not knowingly collect personal data from children. If you believe a child has provided us with personal data, please contact privacy@seorce.com and we will delete it promptly.

Section 12

Links to External Websites

Our platform and website contain links to third-party websites. This Privacy Policy applies only to SEORCE. We are not responsible for the privacy practices of external sites and encourage you to read their privacy policies before providing any personal data.

Section 13

Changes to This Policy

We may update this Privacy Policy from time to time. We will notify you of material changes by email or prominent in-platform notice at least 14 days before changes take effect. The "Last updated" date at the bottom of this page reflects the most recent revision.

Section 1

Our Approach to Cookies

This page explains every cookie and third-party technology used on seorce.com and within the SEORCE platform — what it is, who sets it, what it collects, and why.

Cookies are small text files placed on your device by websites you visit. We use cookies to make the platform function, understand how it is being used, and where we have your consent, to personalise and measure advertising.

✅

Your choice. You can manage or withdraw cookie consent at any time through your browser settings or by clicking "Cookie preferences" in our site footer. Withdrawing consent may affect some platform functionality.

Section 2

SEORCE Analytics — Privacy-First & Cookieless

The SEORCE platform includes its own built-in web analytics product. When you use SEORCE Web Analytics on your own website, it operates on a fundamentally different model to traditional analytics tools:

  • No cookies set. SEORCE Web Analytics does not place any cookie on your visitors' browsers — not essential, not analytical, not any kind.
  • No consent banner required. Because no cookies are used and no personal data is collected, SEORCE Web Analytics is exempt from GDPR and PECR cookie consent requirements by design.
  • IP anonymisation. Visitor IP addresses are anonymised before storage — the last octet (IPv4) and last 80 bits (IPv6) are zeroed. No full IP address is ever persisted.
  • No cross-site tracking. Sessions are session-scoped only. Visitors cannot be tracked across sites or across visits.
  • No personal data collected. No names, emails, or identifiers are stored. Country-level geography is the finest granularity retained.

ℹ️

This cookieless, privacy-first approach is available to all SEORCE customers as part of the Web Analytics product. See our documentation for installation instructions.

Section 3

These cookies are strictly necessary for the SEORCE platform to function. They cannot be disabled without breaking the service. No consent is required to set them.

  • Browser settings. All major browsers allow you to block or delete cookies. Note that blocking essential cookies will prevent you from logging in to SEORCE.
  • Platform opt-outs. Each third-party platform listed above provides its own opt-out mechanism. Links are provided in the relevant sections above.

Section 1

Subscription Plans

SEORCE is offered on monthly and annual subscription plans. All fees are in US dollars. Your subscription renews automatically at the end of each billing cycle unless you cancel. By subscribing, you authorise SEORCE to charge your payment method through Stripe, Inc. on a recurring basis until cancellation.

Subscription fees are charged at the beginning of each billing period. You will receive an email receipt from Stripe after each charge.

Section 2

Annual Plans

Annual plans are billed as a single charge covering 12 months of access. Annual plans offer a discount equivalent to approximately 2 months free compared to equivalent monthly billing. Annual fees are non-refundable after 14 days from the initial purchase or renewal date, except where required by applicable law.

Section 3

Plan Changes

Upgrades take effect immediately. The cost difference for the remainder of the current billing cycle is charged immediately on a prorated basis.

Downgrades take effect at the next billing cycle renewal. You retain access to your current plan's features until the end of the current cycle.

Changes to plans can be made at any time from Settings → Billing in your account.

Section 4

Cancellation

You may cancel your subscription at any time from Settings → Billing → Cancel subscription. Cancellation takes effect at the end of your current billing period. You will retain full access to all features until that date. No further charges will be made after cancellation.

Cancelling does not delete your account or data. Your account moves to the Free tier at the end of the billing period. Data is retained for 90 days thereafter, during which you may resubscribe to restore full access.

Section 5

Refund Policy

SEORCE operates a no-refund policy for partial billing periods. Exceptions are made in the following circumstances:

  • Monthly plans: A full refund may be issued if requested within 48 hours of the charge, on a case-by-case basis at SEORCE's discretion.
  • Annual plans: A pro-rated refund for unused months may be issued within 14 days of the initial purchase or annual renewal. After 14 days, annual fees are non-refundable.
  • Service failure: Where SEORCE has failed to deliver the service as described and the failure is attributable to SEORCE, we may issue credits or refunds at our discretion.
  • Statutory rights: Nothing in this policy limits your statutory rights under applicable consumer protection law.

To request a refund, contact billing@seorce.com with your account email and a description of the circumstances. We will respond within 5 business days.

Section 6

Free Trial

New accounts include a 7-day free trial with full access to the Growth plan features. No credit card is required to start a trial. At the end of the trial, your account moves to the Free tier unless you subscribe. You will receive a reminder email before your trial ends.

SEORCE reserves the right to limit free trial access per person, email domain, or company. Creating multiple accounts to extend trial access is a violation of our Terms of Service.

Section 7

Failed Payments

If a payment fails, Stripe will automatically retry up to three times over a period of several days. If all retries fail, your account will be downgraded to the Free tier and you will lose access to paid features. Your data is retained during this period.

You will receive email notifications at each failed attempt. You can update your payment method at any time from Settings → Billing to resolve the issue and restore access.

Section 8

Taxes

All stated prices are exclusive of applicable taxes. Depending on your billing address, SEORCE may be required to collect sales tax, VAT, GST, or other applicable taxes. These will be calculated and displayed at checkout and shown separately on your invoice.

If you are a VAT-registered business in the EU, you may provide your VAT number during checkout to have VAT reverse-charged. Contact billing@seorce.com if you need to update your tax status.

Section 9

Payment Methods

SEORCE accepts major credit and debit cards (Visa, Mastercard, American Express) and bank transfers for annual Enterprise plans. All payments are processed securely through Stripe, Inc., a PCI DSS Level 1 certified payment processor.

By adding a payment method, you authorise SEORCE to charge that method for your current and future subscription fees. SEORCE does not store your full card number — card details are tokenised and held by Stripe under their security standards.

You can update or change your payment method at any time from Settings → Billing. Changes take effect from the next billing cycle.

Section 10

Billing Disputes

If you believe you have been charged incorrectly, please contact billing@seorce.com within 60 days of the charge with your account email and a description of the dispute. We will investigate and respond within 10 business days.

We ask that you contact us directly before initiating a chargeback with your bank. Chargebacks initiated without prior contact may result in suspension of your account while the dispute is resolved.

Section 11

Pricing Changes

SEORCE may change subscription prices at any time. We will notify you of price changes by email at least 30 days before the change takes effect on your account. If you do not wish to continue at the new price, you may cancel before the effective date without penalty.

Price changes apply at your next billing cycle renewal. Your price is locked until then. Promotional pricing is subject to its own terms and may expire earlier.
